Terms of Service

In this document, the terms below have the following meanings:

“XPart.vn”

XPart Co., Ltd. and the electronic components commerce platform at xpart.vn

“User”

Any individual or organization accessing, registering, or using XPart.vn services

“Service”

All features, content, and transactions provided through XPart.vn

“Product”

Electronic components, equipment, and accessories sold on the platform

“Order”

A purchase request submitted by a user and confirmed by XPart.vn

“Account”

A personal or business profile registered to use full services

To use XPart.vn services, users must meet these conditions:

• Be at least 18 years old or have consent from a legal guardian
• Have legal capacity to perform transactions under Vietnamese law
• Provide accurate and complete information when registering and ordering
• Use the service for lawful purposes only
• Be responsible for all activity under your account

For business customers, the person placing an order must have authority to bind the organization to these terms.

Create an account

Some features require an account. When registering, you agree to provide accurate information and update it when it changes.

Account security

• You are responsible for password security and login activity
• Do not share login information with any third party
• Notify us immediately if unauthorized access is detected
• XPart.vn is not liable for loss caused by loss of account control

Account suspension

XPart.vn may suspend or delete accounts that violate these terms, provide false information, or show fraudulent behavior without prior notice.

Order process

An order is effective only when XPart.vn sends an order confirmation email. XPart.vn may refuse or cancel orders in these cases:

• Product becomes out of stock or discontinued after ordering
• Payment or shipping information is invalid
• Fraud or abuse is suspected
• Displayed price is incorrect due to a technical issue

Price and tax

Prices on XPart.vn exclude VAT unless otherwise stated. 10% VAT is added and shown before order confirmation. Prices may change without notice, but confirmed orders keep the confirmed price.

Payment methods

• Bank transfer (NET 30 for contracted business customers)
• Online payment via VNPay, Momo, and international credit/debit cards
• Cash on delivery (COD) for orders under 5,000,000 VND

XPart.vn ships nationwide through trusted logistics partners. Estimated delivery times:

Risk of loss and damage transfers to the buyer when goods are handed to the carrier. XPart.vn provides tracking numbers for all orders.

Return conditions

XPart.vn accepts returns within 7 days from receipt if:

• Products are intact, unused, with original packaging and labels
• Invoice and outbound inspection slip are available
• Product has manufacturer defect, incorrect description, or wrong part number delivered

Cases not eligible for return

• Product damaged by user handling
• Components already soldered or mounted on a circuit
• Special orders or large-volume PO items
• Clearance products clearly marked as such

Products distributed by XPart.vn are genuine goods from manufacturers or authorized distributors, with Certificate of Conformance (CoC). Warranty periods usually are:

• ICs and semiconductors: 12-month manufacturer defect warranty
• Connectors, cables, and accessories: 6 months
• Industrial automation equipment: according to manufacturer policy (12–24 months)
• EOL/NRND goods: sold as-is, no warranty

Warranty does not apply to damage caused by incorrect installation, overvoltage, ESD, or environmental conditions outside specifications.

All content on XPart.vn — including logo, interface, component database, technical descriptions authored by XPart, and software — is intellectual property owned or lawfully licensed by XPart.vn.

• Do not copy, redistribute, or commercially exploit XPart.vn content
• Do not use scrapers, bots, or automated tools to collect product data
• Datasheets and technical documents belong to their manufacturers
• The XPart brand, logo, and domain may not be used without permission

Users must not:

• Use the platform to purchase components for weapons or export-control violations
• Provide false information about organization or component end use
• Perform fake transactions, money laundering, or payment circumvention
• Order for hoarding to create scarcity and resell at inflated prices
• Attack, exploit vulnerabilities, or disrupt system operations
• Post misleading reviews or manipulate product ratings

To the maximum extent permitted by law, XPart.vn is not liable for:

• Indirect damages, lost revenue, or lost profits from using or being unable to use the service
• Equipment failure caused by installing components outside specifications
• Delivery delays caused by force majeure
• Third-party content or links displayed on the platform

XPart.vn’s total liability for any claim will not exceed the related order value or 5,000,000 VND, whichever is lower.

The parties will first attempt good-faith negotiation for 30 days from the dispute date.

If no agreement is reached, the dispute will be submitted to the competent People’s Court in Ho Chi Minh City under Vietnamese law.

For international business customers, the parties may agree to resolve disputes at VIAC under its arbitration rules.

• These terms are governed by the laws of Vietnam
• If any provision is invalid, the remaining provisions remain effective
• XPart.vn may update these terms; the latest version is always available at xpart.vn/terms
• Section headings are for reference only and do not affect interpretation
• These terms are the entire agreement between you and XPart.vn and replace prior commitments
